Terms of Service

These Terms of Service ("Terms") govern your use of the DigiVia digital platform (the "Platform"), owned and operated by Selftrade Networks (Pty) Ltd ("the Company").

1. Relationship Nature (No Employment)

Nothing in these terms constitutes an employment contract, agency, or partnership relationship under South African Labour Laws:

  • Operational Freedom: Independent contractors choose their own working hours and have the right to provide services to competitors.
  • Tools of Trade: Users supply their own cellular data, devices, and vehicles needed to operate on the Platform.
  • UIF and Benefits Exclusions: Users are responsible for their own tax registrations and are not entitled to annual leave or sick benefits.

2. Financial Token Ledgers

To comply with the Banks Act 94 of 1990, you acknowledge:

  • Advanced Service Pre-Payments: Purchasing wallet balances or credits represents a license fee or advanced pre-payment for data access and lead match services, not a deposit.
  • Escrow Transactions: Escrow rules apply to locked milestone balances, protecting both parties until work completion is verified.
  • System Bookkeeping Audit: All double-entry transactions are recorded permanently to satisfy the South African Income Tax Act audit guidelines.

3. Platform Fees, Transactions, and Refunds

By using the Platform, you agree to the following financial terms:

  • Service Fees: We charge non-refundable fees for lead matching, escrow administration, and wallet transactions. These fees are automatically deducted from your wallet balance.
  • Wallet Funds and Usage: Funds loaded into virtual wallets are used to pay for services or locked in escrow milestones. Users may withdraw unused undisputed wallet balances, subject to verification checks, bank processing times, and processing fees.
  • Disputed Funds: In the event of a dispute between users regarding locked milestone escrow funds, the Company reserves the right to hold such funds until resolved by mutual agreement or arbitration.

4. Prohibited Conduct & Platform Bypassing

To preserve the integrity of our ecosystem, users agree to the following rules:

  • No Disintermediation: Users are strictly prohibited from bypassing the Platform to pay or receive payments directly from service providers or clients matched via the system. Doing so will result in immediate termination of all associated accounts.
  • Security and Integrity: You must not attempt to scrape data, upload malicious code, bypass security controls, or manipulate the transaction log.

5. Limitation of Liability and Indemnification

We provide the Platform "as is" without warranty of any kind:

  • Contractor Work Quality: The Company acts strictly as a matching facilitator and transaction ledger. We are not liable for the quality, safety, legality, or delivery of works performed by service providers.
  • Service Downtime: We are not liable for any financial losses caused by temporary server outages, database latency, or upstream banking network failures.
  • Indemnity: You agree to indemnify the Company against any claims, losses, or legal costs arising from your breach of these Terms or local regulations (including tax evasion or POPI data breaches).

6. Account Suspension and Termination

We reserve the right to manage account access to protect the platform:

  • Discretionary Suspension: We may suspend or freeze your virtual wallet and account access immediately if fraud, compliance issues (KYC/AML), or threat activities are suspected.
  • Effect of Termination: Upon account termination, any remaining undisputed wallet balances will be returned to the source bank account, minus any accrued platform fees.

7. Governing Law and Dispute Resolution

All interactions and agreements are subject to local South African jurisdiction:

  • Governing Law: These terms are governed by and construed in accordance with the laws of the Republic of South Africa.
  • Arbitration Protocol: Any dispute arising from your use of the Platform must first be submitted to private mediation, and if unresolved, referred to arbitration in Johannesburg under AFSA (Arbitration Foundation of Southern Africa) rules.
